Ultimate Beneficial Owner (UBO)

An ultimate beneficial owner (UBO) is the natural person who ultimately owns or controls a business, whose identification is a core part of KYB and AML/CTF customer due diligence.

Who counts as an ultimate beneficial owner?

A UBO is the flesh-and-blood person who ultimately owns or controls a business, no matter how many companies or trusts sit in between. Ownership is usually defined by a shareholding threshold, commonly 25 percent or more, while control can also come through directorship or the power to make key decisions. A concrete example: an invoice comes from a company owned by a holding company, which is in turn owned by two individuals. The UBOs are those two people, not the intermediate company. Identifying them means seeing through the corporate structure to the humans who benefit.
